ELECTRONIC RECORD AND SIGNATURE DISCLOSURE

OneGC Inc. (“OneGC,” “we,” or “us”) operates the OneGC Sign electronic signature platform. OneGC provides the technology that enables parties to sign and exchange documents electronically. The person or organization that sent you the documents you are being asked to sign (the “Sending Party”) is the party responsible for the content of those documents and for determining what notices or disclosures are required for your transaction. Unless OneGC is identified as the Sending Party for a particular transaction, OneGC is not a party to the underlying agreement you are signing.

In some transactions, the Sending Party may be OneGC PLLC, a law firm affiliated with OneGC that provides legal services to its clients. When OneGC PLLC is the Sending Party, it is acting in its capacity as a law firm, and the terms of your engagement with OneGC PLLC are governed by a separate engagement letter, not by this Disclosure.

From time to time, applicable law may require the Sending Party to provide you with certain notices or disclosures in writing. This Electronic Record and Signature Disclosure (“Disclosure”) describes the terms under which such notices and disclosures may be provided to you electronically through OneGC Sign, rather than on paper. Please review this Disclosure carefully. If you are able to access this information electronically and agree to the terms below, please indicate your consent by selecting the checkbox labeled “I agree to use electronic records and signatures” before proceeding.

Scope of Consent

By consenting to this Disclosure, you agree to receive all notices, disclosures, authorizations, acknowledgments, and other records or documents (collectively, “Communications”) in electronic form through the OneGC Sign platform, to the extent permitted by applicable law. Your consent covers (a) the specific transaction in which you are currently participating through OneGC Sign, and (b) any subsequent Communications that relate to that same transaction, such as fully executed copies, amendments, or notices arising under the agreement you are signing. Your consent does not extend to unrelated future transactions. If the Sending Party or a different party sends you documents through OneGC Sign for a new, unrelated transaction, you will be asked to provide consent again at that time.

**Legal effect of electronic signatures (where permitted). **When permitted by applicable law and the Sending Party’s policies, an electronic signature you apply through OneGC Sign may be legally binding and may satisfy legal requirements for a signature in writing. Requirements vary by jurisdiction and by document type. Some documents or notices may not be eligible for electronic delivery or electronic signature, or may require additional formalities such as notarization or a particular type of electronic signature. If electronic signing or electronic delivery is not permitted for your transaction, the Sending Party will provide an alternative method.

Document Access and Retention

During and immediately following your signing session, you may download or print any documents delivered to you through OneGC Sign. After completion, documents may remain available for you to access and download through OneGC Sign for as long as the Sending Party retains them on the platform and you continue to have access rights. Availability may end if, for example, the Sending Party deletes the documents, changes retention settings, or no longer uses the platform.

If OneGC materially changes its platform-level retention practices in a way that would remove documents that are otherwise available to you, we will provide notice when reasonably practicable and, where feasible, at least thirty (30) days in advance, so you have an opportunity to download copies.

**Important: **OneGC’s retention of documents on the platform is provided as a convenience and does not replace any obligation you, the Sending Party, or any other party to the underlying agreement may have to retain records under applicable law. Do not rely on OneGC Sign as your only archive. You are responsible for downloading and independently retaining copies of all documents for your own records and for as long as applicable law or the terms of your agreements may require. OneGC does not assume any record-retention obligations on behalf of the parties to an agreement executed through OneGC Sign.

Right to Receive Paper Copies

You have the right to receive a paper copy of any Communication that is provided to you electronically. To request paper copies of Communications previously delivered through OneGC Sign, send an email to [email protected] with the subject line “Paper Copy Request.” In the body of your email, include your full name, email address, mailing address, and telephone number, along with a description of the documents you are requesting. There is no charge for paper copy requests.

Depending on the transaction, the Sending Party may be responsible for fulfilling paper-copy requests. If you contact OneGC, we may direct your request to the Sending Party or ask you to contact them directly.

Withdrawing Your Consent

You may withdraw your consent to receive electronic Communications at any time by taking either of the following steps:

Your withdrawal will take effect after we have had a reasonable opportunity to process your request. We may notify the Sending Party, and you may also need to notify the Sending Party directly. Withdrawal will not affect the legal validity or enforceability of any Communication previously provided to you, or any electronic signature previously executed, while your consent was in effect. If a transaction is in progress when you withdraw (for example, documents have been sent but not yet signed), those pending documents may be canceled within OneGC Sign. The Sending Party will be notified and may contact you to arrange an alternative method of delivery and execution. Withdrawal does not by itself terminate or modify any underlying agreement between you and the Sending Party. Going forward, the Sending Party may need to provide required notices and disclosures to you on paper, which may delay the completion of transactions.

Keeping Your Contact Information Current

It is your responsibility to maintain a current and valid email address with us. To update the email address associated with your use of OneGC Sign, please send an email to [email protected] stating your previous email address and your updated email address. If the Sending Party maintains separate contact records for your transaction, you may also need to update your contact information directly with the Sending Party.

Hardware and Software Requirements

To access, view, and retain Communications delivered through OneGC Sign, you will need the following:

We may update these requirements from time to time. If a change in requirements creates a material risk that you will be unable to access or retain Communications electronically, we will provide you with a notice describing the updated requirements. To continue receiving Communications electronically after such a change, you will be asked to reaffirm your consent based on the updated requirements. If you do not reaffirm your consent, your prior consent will remain in effect for Communications already delivered, but we will treat your consent as withdrawn for purposes of future Communications, and the Sending Party will be notified accordingly. You will not be charged any fee or penalty in connection with the withdrawal of your consent under these circumstances.

If you have a disability or other condition that makes it difficult to access or use electronic records through OneGC Sign, please contact us at [email protected]. We will work with you and the Sending Party to identify a reasonable accommodation.

Demonstrating Your Ability to Access Electronic Records

Communications through OneGC Sign may be delivered as HTML pages displayed within your browser and/or as documents in Portable Document Format (PDF). By consenting, you confirm you can access and retain the specific formats the Sending Party will use for this transaction. If PDFs will be used, you should open at least one PDF document during this session (or another method provided by the Sending Party) before you consent. If you are unable to view this Disclosure or any documents presented to you during the signing session, do not provide your consent, and contact the Sending Party to arrange an alternative method of delivery.

Applicable Law

In the United States, the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state laws, including the Uniform Electronic Transactions Act as adopted in your state, authorize the use of electronic records and electronic signatures in transactions where the parties have consented. Certain document types and transactions are excluded from these laws and may not be eligible for electronic delivery or electronic signature. Outside the United States, local laws governing electronic signatures and electronic records may apply. This Disclosure is provided in accordance with applicable law.
